Lions International promotes the "your club, your way" ethos while also now expecting that a president do not serve more than 2 years in a row. In consideration of our club's culture and demonstrated expectations, this amendment seeks to separate the responsibilities of President from Executive Director, to ensure that we are continuing to follow Lions International expectations, and also to eliminate a bottleneck of advancement. To that end, we are proposing the following amendments to our constitution and bylaws. There will be a single vote on all of the proposed changes, as they are intrinsically connected.
Amend the Constitution and Bylaws, as follows, to create the role of Executive Director and modify the role of President:
Constitution
Article VII. Section 1. Shall have executive director inserted before president.
Article VIII. Section 1. Shall have the references to president replaced with executive director.
Bylaws
Article II. Shall have executive director inserted before immediate past president.
Article III. Sections 1-5 shall have their section numbering increased by 1, and the role of executive director will become the new Section 1. The following language will be adopted.
Section 1. Executive Director. The executive director shall be the chief executive officer of this club. They shall:
Have general supervision and active management of the business, property, and affairs of this club, subject to the constitution, bylaws, and policies.
Preside at all meetings of the board of directors; issue the call for regular and special meetings;
Appoint and remove committees as necessary for the efficient functioning of this club;
Appoint and remove board members, subject to board approval;
Ensure that all reports required by this club, the district, or Lions Clubs International are timely prepared and submitted;
Oversee the financial management of this club in cooperation with the treasurer;
Represent this club in all official matters;
Delegate duties as appropriate to the president, officers, and committees, and shall ensure that all such duties are faithfully performed;
Be appointed by the board of directors, with a term of five (5) years.
Section 2. President. The president shall serve under the direction of the executive director and shall be the chief elected officer of this club. The president shall:
Preside at all meetings of the membership;
Oversee and coordinate the activities of the board of directors;
Ensure that board deliberations are orderly and that decisions are carried out;
Assist in implementing the programs and policies of this club as set forth by the executive director and board of directors;
Serve as the primary liaison between the elected officers and the executive director, and shall perform such other duties as may be assigned by the executive director or the board of directors.
Article V. Section 1 will have the president replaced by the executive director.
Article VI. Section 2 Shall add that the executive director may also call special meetings, and set the time and place.
Article VI. Section 4 Shall add that the executive director may also call special meetings, and set the time and place.
Article VI. Section 6 Shall add that the executive director may also initiate the alternate meeting format.
